What is form INC- 22A?

With the inclusion of Rule 25 A in the Companies (Incorporation) Rules, 2014, the MCA has created a new format INC-22A-ACTIVE (Active Company Tagging Identities and Verification), with the intention to come into effect on February 25, 2019. All that organizations that joined on or before December 31, 2017 and are currently eligible for the “Active” designation must waive this status using April 25, 2019. MCA will creation of excess cost of filing of documents, namely Rs. 10,000 if the document is not always provided with closing date allowance. In addition, the enterprise may be identified as an “ACTIVE non-criticism business enterprise,” and the relevant DIN would be considered the “leader of an ACTIVE non-compliant organization.”

Consequences of non-filing of form INC-22A

If the form is not submitted by the deadline, the company will be listed as an "ACTIVE non-complaint company." Companies that submit their documents after the deadline are charged Rs. There is a late fee of Rs 10,000 from MCA.

Limitations on Authorized Capital Changes

A firm that has not submitted the form will not be permitted to submit the form regarding the modification of the company's authorized capital. As a result, a business cannot submit form SH-7.

Limitations on alterations to Paid-Up Capital

A corporation cannot alter its paid-up capital without first filing form INC-22 A. Form PAS-3 cannot be submitted by a business to report a change in paid-up capital.

Limitations on directorship changes

A company's only option for changing a directorship is to terminate the position if the form is not submitted by the deadline.

Limitations on closure, demerger, and amalgamation

A business will be unable to move forward with a demerger or amalgamation. Form INC-28 cannot be submitted by a firm to the MCA. Additionally, a firm is not eligible to seek for a quick exit or company dissolution.

Limitations on alterations to the registered office

If the form is not submitted by the deadline, a firm won't be able to modify the registered office address. Form INC-22 cannot be filed by a company.
