The registered office, which is also listed in the company’s master data, is the address to which all formal correspondence should be sent. Even if the office is located in the same city, all address changes need to be reported to MCA. The Companies Act specifies a procedure that must be followed in order to modify the address. The procedure for moving a registered office varies depending on whether the office is moved inside a city, under the authority of the RoC, or to another State. In every situation, the permission of the relevant RoC and the shareholders’ assent are required.

  • As long as the proposed registered office is located in the same State, changing your business address does not necessitate amending your memorandum of association. The scenario clause referring to the State must be changed if the office is moved to another State.
