INTRODUCTION
Know about company name change
Once incorporated, a business can change its name at any time. Being a statutory and regulated business, the guidelines provided in the Companies Act 2013 must be followed. The disclosure involves meetings of the board with members to seek their permission and then providing a confidential and centrally approved list the changes. Once the company has been renamed, the RoC will issue a new certificate confirming the new name. The continuing existence of the company is not affected by the name change, and therefore all of its assets and liabilities remain unchanged.
Why change company name?
Voluntary Change
For any justifiable cause, the directors or the shareholders may jointly decide to alter the company name voluntarily. Names may be used to express a company's mission or any other feature. Another reason to modify a company name is to make the brand more approachable and simple for customers to use.
Change in Business Objective
A name change could be necessary if the company's goals alter. The name may be updated to better represent the new goal if it does not now accurately reflect it. If the Registrar has instructed the firm to seek for a change in this situation, it must do so.
Enhance Brand Value (Rebranding)
The company's name conveys its brand value, thus changing it is frequently done with the purpose of enhancing that value. Additionally, in industries where trends shift over time, a suitable name may be selected to align with the trend and establish a unique brand. A name change may be an effective marketing tactic to raise the value of a brand.
Discard boundaries assumed by name
The name establishes the bounds of operations through the use of terms that denote geographic regions or offers. Demands for reducing limits implied by the term are part of the expansion achieved by capturing a large market. Furthermore, the name has to be altered to better target the intended audience if it is no longer relevant to the given goods or services.
